This session will analyse the increasing importance of proxy advisors in most aspects of public company corporate governance. Panellists will first explore the factors that have given rise to the increased influence of proxy advisors and then describe the current and proposed regulation of proxy advisors in several key jurisdictions, as well as to what extent these regulations address potential issues related to conflicts of interest, fiduciary duties of investment advisers and proxy solicitation.
