SUMMARY:Navigating the path between a rock and a hard place: the role of 
 the target director in distressed M&A
DESCRIPTION:Companies going through dark times are often left with no oth
 er option but to sell parts of their business in order to secure their s
 urvival and avoid undergoing restructuring processes or filing for insol
 vency/ bankruptcy. Or they may be required to engage in a distressed sal
 e of the company either in or out of a court-monitored process. The purc
 hase of a distressed target company is subject to a number of insolvency
  considerations\, thus making the transaction a rather complicated and f
 ormal undertaking. A number of stakeholders are involved\, for example\,
  an insolvency administrator\, insolvency court\, shareholders\, custome
 rs\, employees and banks.\n\nThe panel will explore the role of the targ
 et director in distressed M&amp\;A\, including:\n\n• differences dependi
 ng on whether the company is listed or not\;\n• duty to\, or other relev
 ance of the interests of\, creditors as directors of distressed companie
 s seeking to restructure\;\n• insolvent/wrongful trading and defences\;\
 n• the risk of the transaction being challenged\; and\n• different statu
 s/processes to effect such transactions.\n\nThe panel will discuss leadi
 ng recent cases from various jurisdictions\, such as the US state of Del
 aware\, the UK and others.
