DESCRIPTION:Corporate governance is the ‘it’ word in corporate India toda
 y.\nGovernance issues have shaken the ethos of a number of\nIndian congl
 omerates. The Companies Act\, 2013 has been\ninstrumental in giving stat
 utory recognition to the concept of\n‘socially responsible business’. Pr
 oxy advisory firms are becoming\nincreasingly active and influential\, w
 hile retail investors continue\nto be active\, if disorganised. Independ
 ent directors are becoming\nprogressively more important and Securities 
 and Exchange\nBoard of India (SEBI) is on the warpath\, encouraging ‘maj
 ority of\nminority’ rule of law. Despite all of these changes\, governan
 ce\nin general - corporate governance in particular - continues to\nbe a
 n issue in India. This session will examine the most recent\nchanges to 
 laws in India that impact how Indian companies\ngovern themselves. How c
 an the true ‘spirit’ of corporate\ngovernance be brought to bear and wha
 t roles\, if any\, can\ncounsel play? How will the introduction of ‘clas
 s action suits’\nimpact the Indian M&amp\;A climate? The panel will also
