Carolyn Knox is a shareholder in the Ogletree Deakins Cross-Border practice group, located in the firm’s San Francisco office. Carolyn has broad experience in both US and cross-border employment issues. Over the course of her career, she has practiced in the United States, Europe, and Brazil. She regularly provides advice and counsel on cross-border human resources law issues to HR professionals and in-house employment counsel managing workforces outside of their home countries.
Her expertise includes global restructurings, development and roll-out of global and regional handbooks and employment policies and procedures, codes of conduct, workplace audits, employment agreements, commercial representative agreements, workplace investigations, employee benefit plans, hiring and termination issues, representation of management teams in transactions and M&A due diligence. In addition, her strong litigation background enables Carolyn to identify issues and manage litigation outside the United States.
Carolyn is admitted to practice in all state and federal courts in California, the US Supreme Court, and was a Registered Foreign Legal Consultant, Ordem dos Advogados do Brasil (OAB) in Brazil.
Emanuela Nespoli
Emanuela Nespoli practises employment law and is a Partner at the law firm, Toffoletto De Luca Tamajo e Soci, one of the leading Italian firms specialising in employment law, industrial relations, and commercial agency agreements.
Emanuela read law at the University of Milan, graduating magna cum laude in 1993. She has been practising law since 1996, when she qualified into the Italian Bar, and has held rights of audience in the Italian Supreme Court since 2010. Emanuela is specialised in employment law, restructuring, industrial relations and commercial agency agreements, is the Chair of the firm’s «Flexit» team dedicated to assisting companies with early retirement programmes, as well as the Co-chair of the firm’s company restructuring team.
Emanuela is also highly active in the legal field, on both a national and international level. She is the Chair of the Ius Laboris Compensation & Benefits Expert Group and is a member of the Executive Board for the Lombardy Regional Chapter of the Italian Employment Lawyers Association (AGI, Avvocati Giuslavoristi Italiani).

Lionel Paraire
Lionel is the founder and managing partner of Galion.
He has an acknowledged expertise in the area of individual employment relations, high risk litigation and dispute resolution. He regularly assists companies as to the labour and employment law aspects of their corporate transactions and/or restructuring. His expertise also extends into Alternative Dispute Resolution (ADR), notably as a mediator.
Lionel was admitted to the Bar in 1997. He has a DESS de Droit des Affaires and a Magistère-DJCE (Masters in Business and Tax law) from the University of Montpellier. He worked for six years with Cabinet Jeantet Associés and then Baker & McKenzie, followed by Mayer Brown, where he became ‘Of-Counsel’.
Lionel has lectured at the University of Paris XII in Labour Law and European Labour Law. He is currently senior lecturer at the University of Montpellier I (DJCE and Certificate of Special Studies in Labour Law), where he teaches employment litigation.
He has written numerous articles for specialised and national press and frequently takes part in conferences on labour and employment law. He uses his knowledge to provide comprehensive training to his clients. Lionel is a member of various national and international associations including Avosial (French Employment Lawyers Association), AFPDC (French Association of Collaborative Professionals), EELA (European Employment Lawyers Association) and the IBA (International Bar Association). Carol Zhu
Carol is a key partner of Zhong Lun’s labour and employment law practice group. Prior to joining Zhong Lun, Carol was a key member of the employment practice group at a major international law firm. Before practising in law firms, Carol accumulated more than 10 years of experience working as head of human resources in China, and across Asia, for several international companies where she was responsible for overall HR and employee relations. Carol’s area of focus covers all aspects of labour and employment-related matters, including hiring and termination; establishment and enforcement of company policies; HR documentation; employee compensation and benefits; national insurance; mass redundancies; labour dispatch and transition; cross-border employment issues; employee transition in mergers and acquisitions; trade union matters; global mobility and immigration; anti-corruption investigation and training; due diligence of human resources compliance; and labour dispute resolution in China.
