Panel: Merger control: challenges - today and tomorrow

Merger control enforcers and advisers around the world face new issues raised by digital transformation and political and economic turbulence, while familiar issues of evidence and standard of proof remain controversial. This panel will look at the impact of recent developments and will discuss a range of current challenges and open questions in the merger control landscape across Latin America, Europe and Asia.

Topics will include:

  • How is COVID-19 impacting merger review including the application of the Failing Firm Defence – is there a case for relaxing the rules?
  • Will we see a shifting of the burden of proof in digital mergers and more broadly, what impact will the General Court’s judgment in Hutchison UK have on the standard of proof and procedural standards applied by the European Commission?
  • Are current systems denying Parties effective rights of appeal against authorities’ merger decisions and what needs to change?
  • Is there a case for changes in jurisdictional thresholds to capture more acquisitions of nascent competitors and so-called ‘killer acquisitions’; lessons from the UK CMA’s approach?
  • While China has long given a clear role to industrial policy as part of merger review, what are we seeing in other jurisdictions amidst pressure from politicians (including fall-out from Siemens-Alstom in the EU) to move away traditional ‘pure competition/consumer welfare’ assessments?

Joint Ventures: When are they mergers? When are they not? And why does it matter?

Joint ventures take a variety of forms, and it can be challenging to determine whether and where they trigger merger control filings. They may also give rise to complex competition concerns in merger reviews and/or under the legal frameworks governing agreements or concerted practices. Using a hypothetical business venture, an expert panel will explore the procedural and substantive implications of alternative structures that competitors may use to implement joint ventures.
