Martin Hitzer

Biography

Martin studied at the University of Hamburg. He has been a partner at Gleiss Lutz since 2010. Between 2002–2005 and 2006–2009 Martin was with an international law firm in Düsseldorf and London and from 2005–2006 with an investment bank in London. In surveys of leading commercial lawyers in Germany, he has been listed for many years as a "TOP lawyer in corporate law" (Wirtschaftswoche), "Frequently recommended for corporate law/M&A" (JUVE, Handelsblatt) and as a "Notable practitioner for M&A" (IFLR 1000). He is an active member of the Corporate Governance Group of the IBA and was a lecturer for M&A at the Frankfurt School of Finance and Management. Martin is specialized in advising listed and private companies in difficult decision-making situations and complex transactions, in particular public takeovers, group integration measures (domination agreement, squeeze-out, de-listing), dealing with shareholder and investor activism as well as disclosure obligations under capital markets law. He also has extensive experience in corporate governance matters (including sustainable corporate governance and ESG) as well as advising on fiduciary duties, compliance and internal investigations. Martin regularly publishes on corporate and capital market law topics, most recently in the newly published Handbook for Supervisory Boards (Verlag C.H. Beck, 2021) on US monitorships in German companies and on capital markets law obligations of the supervisory board and in Beck’s online commentary on the German Securities Trading Act on notification obligations in connection with financial instruments (Sections 38, 39 WpHG).
