Biography

Maurice Gindi Partner, Cleary Gottlieb Steen & Hamilton LLP mgindi@cgsh.com Maurice Gindi is a partner based in Cleary Gottlieb’s New York office, and his practice focuses on the organization and operation of private investment funds. His experience covers a broad array of private fund strategies, including leveraged buyout, special situations, growth equity, social impact, healthcare, and real estate funds, as well as evergreen funds and hedge and “hybrid” funds. Maurice’s practice also includes GP-led secondary transactions, continuation vehicles, co-investments, separate accounts, and general partner/management company arrangements, and he also represents limited partners in connection with their investments in private funds. Maurice has advised on some of the most complex and inventive fund formation matters, including novel fund strategies and innovative transaction structures. His recent experience includes representing TPG on fund matters in connection with TPG’s agreement to acquire Angelo Gordon in a transaction valued at approximately $2.7 billion, TPG in the formation of TPG Partners IX and TPG Healthcare Partners II, TPG Capital’s ninth flagship buyout fund and its second Healthcare side car fund, collectively raising $15.6 billion in aggregate commitments, TPG in the formation of the Rise Fund III, a social impact fund, and prominent Silicon Valley and Seattle family offices in fund arrangements and investments in private funds. In addition to these recent highlights, Maurice’s notable representations have included advising Blackstone in the formation of Blackstone Life Sciences V, Blackstone’s first life sciences fund, which closed with $4.6 billion in total capital commitments and was the largest life sciences private fund raised when it closed, and in its inaugural $1.6 billion Life Sciences Yield Fund, Viking Global in the launch of the $1.5 billion Viking Global Opportunities Drawdown Fund, TPG in the formation of its $3.6 billion TPG Growth V fund and on its single-asset GP-led secondary transaction involving Creative Artists Agency. Maurice is a regular participant in important industry events and a thought leader in the private equity space, including as a participant on the NYC Bar Association’s Private Investment Fund Committee and an author of articles for important trade publications such as Secondaries Investor, where he co-authored the article, “GP-led Provisions in LPAs: Key Points to Consider for an Evolving Market.” Maurice has been recognized as a “Legal Rising Star” by Private Funds CFO magazine and as a “Rising Star” in Fund Formation by Law360. In addition, Maurice has been named to the seventh and eighth editions of Legal Media Group’s Rising Stars in Investment Funds and recognized as a leading lawyer in Private Equity Fund Formation by Chambers USA and Chambers Global.
