Biography

Melissa K. Stubenberg is a director at Richards, Layton & Finger, where she brings over 25 years of experience advising on complex matters involving Delaware limited liability companies and partnerships, including their formation, operation, and dissolution. She represents a wide range of sophisticated clients, such as Fortune 500 companies, major financial institutions, private equity and hedge funds, and has served as Delaware counsel on cutting-edge transactions, restructurings, and management buy-outs. Her practice encompasses a broad array of matters — from mergers and acquisitions to fiduciary duty analysis, structuring advice, and rendering legal opinions — and she is recognized in leading professional listings including The Best Lawyers in America and The International Who’s Who of Private Funds Lawyers. Stubenberg earned her J.D. with honors from The George Washington University Law School and a B.A., cum laude, from Mount Holyoke College
