Audra Cohen

Biography

Audra Cohen is a partner in the Asset Management group at Fried Frank in New York. She advises clients on all aspects of the formation, fundraising, negotiation and ongoing compliance of private investment funds across various asset classes. Her practice focuses on closed-end and open-end real estate funds private equity funds, infrastructure funds, growth equity funds and credit funds as well as co-investment and other customized arrangements. Audra has particular expertise in core and core-plus open-end real estate funds. She also has represented clients in connection with their investments in private equity vehicles. Audra has experience counseling fund sponsors on compliance with the Investment Advisers Act, the Investment Company Act and the “bad actor” rule in addition to other regulatory compliance matters, fund-related aspects of real estate and mergers and acquisitions transactions, continuation funds and internal sponsor governance and economic arrangements. Audra is a thought leader in the asset management industry and has published several articles in Lexology’s Panoramic (formerly Getting the Deal Through). She is a member of New York City Bar Association Private Investment Funds Committee and is recognized by The Best Lawyers In America as “One to Watch” in the Field of Corporate Law (2024 edition). Audra received her JD from the University of Pennsylvania Law School, where she was a senior editor of the University of Pennsylvania Law Review, and received her BA from the University of Pennsylvania, where she graduated summa cum laude and Phi Beta Kappa. Prior to joining Fried Frank, Audra was a partner at other international law firms.
