Biography
Nivedita Rao is a Partner with Cyril Amarchand Mangaldas, and is the Deputy Head – General Corporate for the Firm. She has almost eighteen years of experience, at the Firm’s offices in Mumbai, India, and Bengaluru, India. Nivedita is highly experienced in a range of corporate areas, and specializes in mergers and acquisitions, foreign investment and corporate restructuring, both domestic as well as cross border. She also has extensive experience in private equity investments, joint ventures as well as a range of corporate advisory matters. Nivedita is recognised as a leading practitioner in the field of mergers and acquisitions law and specialises in public M&A involving listed companies, court based restructurings and stressed assets. She has advised on a significant number of high-profile and complex transactions, and is an expert in issues pertaining to structuring, documentation and implementation of M&A transactions and advising on regulatory issues including under foreign investment and SEBI laws. She has led transactions for and advised several of the leading business groups in India (including the Aditya Birla group, the Reliance group and the Tatas) and internationally (notable clients she has advised recently include Daiichi Sankyo, General Electric, Mitsui Sumitomo). She is currently advising on various significant insolvency resolution bids under the Insolvency and Bankruptcy Code, 2016. In the area of private equity, she has considerable experience in advising international private equity funds in relation to their investments in India (PIPE deals as well as growth deals) and has also advised Indian companies which have received private equity investments. Private equity clients she has advised include GIC, General Atlantic and Westbridge Capital Partners. Nivedita has been consistently recognized as an expert in the field of M&A by IFLR 1000 and Who’s Who Legal, and is ranked in Chambers Asia Pacific for Corporate and M&A practice. The Chambers report states “She is a standout individual, and a regular feature in M&A deals…..clients are happy to see her because it ensures the deal gets done fairly andquickly”. She has been recognised as one of the “40 Under 45” leading lawyers in India in 2013 by Indian Lawyer 250, the official research partner of the International Bar Association, ABA Section of International Law and is a client recommended lawyer for Corporate M&A and Private Equity as per the RSG India Report 2015. Recent transactions she has worked on include advising: ? Hindustan Unilever Limited (HUL) on the amalgamation of GlaxoSmithKline Consumer Healthcare Limited with HUL, ? On the demerger of Consumer Wireless Mobile Business of Tata Teleservices (Maharashtra)/ Tata Teleservices to Bharti Airtel, ? The Kraft Heinz Company in relation to the sale of 100% equity stake of Heinz India Private Limited to Zydus Wellness Ltd and Cadila Healthcare Ltd. ? Escorts Limited in relation to its joint venture with Kubota Corporation, a tractor and heavy equipment manufacturer based in Osaka, Japan ? Adani Transmission on the acquisition of the Mumbai power business of Reliance Infrastructure Limited. Nivedita joined the Firm in August, 2001 and graduated from National Law School of India University, Bangalore.
