Description
Decision making in joint ventures can often be challenging. When cracks begin to appear in the boardroom, matters requiring unanimous consent or affirmative vote tend to be used as leverage, potentially to the detriment of the company and its employees. A deadlock can bring the business to a standstill if the joint venture documentation has not provided for clear and adequate remedies and exit mechanisms. This session will explore the difficulties in decision making, crafting deadlock clauses and dealing with consequences of breakdowns in shareholder relations, particularly focusing on joint ventures in Asia.
