The Securities and Capital Markets Committee unites business lawyers, academics, regulators, and policy shapers who have an interest in the practice and regulation of securities law and capital markets. Our focus is on the intersection of regional and national capital markets, developments in capital markets products, securities law, regulation of market players, investment banks, brokers, exchanges and central securities depositories. The Committee host flagship conferences and collaborates extensively with other committees, fostering connections across regions and disciplines. The Committee was formed in 2025 by merger of the former Securities Law Committee and Capital Markets Forum.

Survey on Stake-Building Disclosure and Mandatory Tender Offers 2025
The IBA Securities and Capital Markets Committee is pleased to present the results of its 2025 survey on stake-building disclosure and mandatory tender offers. The survey covers 33 jurisdictions and was prepared for the Committee's session held on 3 November 2025 at the IBA Annual Conference in Toronto titled ‘Disclosure rules in stake-building and mandatory tender offers’. The survey was conducted in the form of a questionnaire with responses from the officers of the Committee.
ESG Survey 2024 regarding the Disclosure Regime in Capital Market Transactions
The IBA Securities and Capital Markets Committee conducted a survey in summer 2022 to assess how different jurisdictions regulate environmental, social and governance (ESG) disclosures in capital market transactions. In spring/summer 2024, the Committee updated its ESG survey with new questions added to the questionnaire. Respondents to the survey included officers of the Committee (which, at that point, was split into two separate entities – the IBA Capital Markets Forum and the IBA Securities Law Committee) and colleagues from other IBA committees and covers more than 35 jurisdictions around the globe.
