Experienced M&A practitioners will discuss a foreign investor in Russia case study, focusing on hot topics that arise in the course of structuring an M&A transaction.
Topics will include:
- Structuring considerations
- Choice of target (offshore SPV (special purpose vehicle)/Russian operating company)
- SHA (shareholders' agreement) with respect to Russian target: testing the limits of foreign law
- Exclusive jurisdiction of Russian courts with respect to sanctions disputes
- Choice of forum: arbitration or courts, arbitration in Russia or foreign arbitration
