Gabriella Covino
Biography
Gabriella Covino specializes in private M&A, corporate and commercial law and joint ventures. She advises domestic and multinational companies in significant acquisition transactions with a focus on drafting and negotiating joint ventures agreements, shareholders’ agreements and commercial agreements. She has recently assisted Ferrovie dello Stato S.p.A. in the sale of Società Elettrica Ferroviaria S.r.l., the electricity transmission network of Ferrovie dello Stato S.p.A., to Terna S.p.A., Ferrovie dello Stato group in the privatization of Ferrovie dello Stato and of Grandi Stazioni, its major railway station subsidiary, Al Rayyan Tourism & Investment Company in the acquisition of Boscolo Aleph Hotel, Italy-based five stars hotel, Cassa Depositi e Prestiti S.p.A. in relation to the sale of a stake held in Trans Austria Gasleitung GmbH (TAG, the company that owns the Austrian segment of the natural gas pipeline connecting Russia to Italy) to Snam S.p.A., and in the acquisition from Eni S.p.A. of a stake of 30% less one share in the corporate capital of Snam S.p.A. within the context of the liberalization process of the Italian gas market. She has also advised companies in a pre-bankruptcy status, as well as in restructuring and turnaround matters, having developed a significant experience in assisting Parmalat S.p.A. in its reorganization process and in the restructuring plan under the so-called Marzano Law. Among the major and most recent deals she was involved in, we may highlight advising Fondazione San Raffaele del Monte Tabor (which controls San Raffaele hospital) in the restructuring process of the Fondazione itself and its group. Gabriella also assisted various banks, including Unicredit, Intesa Sanpaolo and Monte dei Paschi di Siena, in relation to the restructuring of Aedes Group’s indebtedness and Unicredit and BNL (BNP Paribas Group) in the restructuring of Hospital Fatebenefratelli’s indebtedness. Gabriella graduated in Law maxima cum laude from the University LUISS “Guido Carli” of Rome. She also holds a Business Law Degree from U.C.L.A. and an M.J.C. from New York University School of Law.
