Earn-outs – Piece of cake or recipe for disaster?

Description

When seller and buyer cannot agree on a purchase price, they often try to ‘bridge the valuation gap’ by structuring part of the price as an earn-out. What needs to be considered in such cases? What is best practice with respect to the maximum earn-out period, the restrictions on changing the target, and what else needs to be considered? Last but not least, is it a good idea or a sure case of cross-selling to our litigation departments?
