Session information

Session One: '(Extra-)Ordinary course of business' and 'Material Adverse Covid-19' – What changed in European M&A deals and what did not?

Committee(s)

Corporate and M&A Law Committee (Lead)

Description

M&A practitioners had great expectations regarding the consequences of the pandemic on deal making and deal shaping. What really happened? Did it really kill ‘locked box’? How do you account for 2020 if the enterprise value is based on a normalised EBITDA multiple? How can you manage a company in the ordinary course of business in extraordinary times? This panel will analyse these and further aspects that changed or, contrary to expectations, did not change in the M&A world.
