Description

SPACs have been all the rage, attracting massive capital (and attendant regulatory and media scrutiny) and dominating the M&A scene. In this panel, we will hear from representatives from the 'buy side' and 'sell side' who have led two of the most high-profile and innovative 'de-SPAC' transactions, together with their deal advisors.

The session will consider:

  • What makes a de-SPAC transaction an appealing and unique alternative to a sale or initial public offering (IPO) for a private equity or venture capital backed company?
  • What are the key considerations for a repeat SPAC sponsor, particularly given recent SEC pronouncements and market conditions?
  • What the key to a successful marriage between a SPAC and a private target?

The discussion will focus on commercial, economic and governance considerations.
