Cross-border settlement

Securities settlement procedures and requirements represent an important and technical, although often misunderstood, element of capital markets, and are particularly complex in the case of cross-border transactions. This panel will explore important legal and commercial settlement issues relevant to counsel of both issuers and security holders throughout a settlement cycle in the context of equity-based transactions involving differing jurisdictions for listing, incorporation and place of issuance. Topics to be discussed include:
•   Overview of settlement systems in Europe and the U.S.;
•   Key elements of a settlement cycle;
•   Interaction between corporate and securities laws applicable at the place of incorporation and settlement rules applicable at the place of listing;
•   Interaction between central securities depositories (CSD) and custodian banks;
•   Impact of certain jurisdictions’ plans to transition to a T+1 settlement cycle in May 2024; and
•   Involvement of CSDs in corporate actions (voting, dividends, take-privates) post-IPO.

Distressed M&A involving closely held companies

Closely held companies have been affected by post COVID economic environment, the Ukraine-Russia war and the increase of energy prices. A number of companies from various sectors are suffering signs of stress. This interactive session will explore, among other issues:

- the opportunities for investors prepared to engage in the acquisition of distressed companies (including PE, hedge funds, sovereign wealth funds);
- the implications of ongoing restructuring processes or formal insolvency proceedings;
- transaction structuring issues, including carve-outs and related tax and commercial implications;
- how to address the gap between valuation expectations of buyers and sellers (earn-outs and other mechanisms);
- the different incentives of the parties involved (buyer, seller, creditors, shareholders, board);
- time constraints;
- limited due diligence scope and uncertainty and implications for pricing and risk allocation (including warranty protection and W&I insurance); and
- how to prepare a company to get sold.

Privatisation of law enforcement: are companies becoming the new prosecutors?

But in ever-expanding situations, it is legally or informally required from companies that they make sure not only their officers and employees abide by laws and regulations, but also that all the third parties they are interacting with do so, in the countries where they are based as well as nearly all over the world. They are increasingly expected to detect potential criminal offences, internally investigate them, collect data, question people, establish potential individual liabilities, disciplinary sanction employees, self-report to the judicial or administrative authorities and cooperate to reach settlements while being strongly incited to do so.

But to what extent is this their role? What is it telling about public enforcement policies around the world? Are commercial companies becoming private prosecutors and should such a trend be questioned?
