The Securities and Capital Markets Committee unites business lawyers, academics, regulators, and policy shapers who have an interest in the practice and regulation of securities law and capital markets. Our focus is on the intersection of regional and national capital markets, developments in capital markets products, securities law, regulation of market players, investment banks, brokers, exchanges and central securities depositories. The Committee host flagship conferences and collaborates extensively with other committees, fostering connections across regions and disciplines. The Committee was formed in 2025 by merger of the former Securities Law Committee and Capital Markets Forum.
The most effective diversity, equity and inclusion programs move beyond mere compliance to introduce initiatives that transform people decisions and organizational culture. As many proven initiatives and the very principles underlying corporate DEI face greater legal scrutiny, what role can lawyers play in supporting ongoing commitments to DEI? This panel will explore how recent developments in the United States affect the future of DEI in business, whether companies can (or should) look to Europe to lead in this area, and how global DEI practice might evolve.

Welcome to the spring 2025 edition of the IBA Litigation Committee's newsletter, entitled: 'Shopping for justice: strategic forum choices and the rise of international commercial courts in commercial disputes." In an increasingly globalised legal landscape, parties in international commercial disputes are making ever more deliberate choices about where to litigate, navigating jurisdictional complexities, procedural nuances, and the growing presence of specialised international commercial courts.
The Commission is seeking to adopt their new guidelines by the end of 2025. This panel will explore the concepts contained in the draft guidelines with a view to determining how they fit with the approach agencies around the world are taking towards enforcing against misuse of market power.

11th Biennial IBA Global Immigration Conference

The 2025 Finance Bill introduces a new tax regime for management package gains, in continuity with the Conseil d’Etat’s (French Supreme Administrative Court’s) 2021 framework. Gains realised by employees or corporate officers on securities, in connection with their functions, can benefit from the 30 per cent flat tax regime applicable to capital gains within the limit of a ratio equal to three times the equity multiple of the company. The portion exceeding this cap is taxed as salary. The reform clarifies the relevant tax and social security rules, offers greater legal certainty and revives underused instruments, such as preferred shares. Some uncertainties remain, pending further guidance expected from the French tax authorities in May 2025.
But what does that mean for tax policy in 2025 and beyond? The roundtable will discuss recent and potential developments regarding the following topics:
- taxes on the wealthy (eg, billionaires’ tax, carried interest, capital gains, etc);
- Pillar Two implementation;
- Pillar One, digital service taxes and other bespoke excise taxes;
- the relationship between the branches of government;
- tax competition – is it alive or dead;
- the US is special – the Tax Cuts and Jobs Act expirations; and
- energy taxes (green and fossil sources).

Over the past six months, the International Criminal Court (ICC) has taken a number of significant steps in pursuance of its mandate to prosecute individuals for crimes of international concern, including war crimes, crimes against humanity and genocide. These developments underscore the ICC’s commitment to addressing grave violations of international law, although the institution continues to face challenges and criticisms.

The IBA European Regional Forum (ERF) is pleased to announce changes to its officer positions for 2025. These changes reflect the organisation's commitment to diversity, inclusion and the evolving needs of its members.
The project has started in July 2024 and is expected to be concluded in December 2026. By the time of the 2025 IBA Annual Conference in Toronto, the advisory group of the project would like to share its emerging findings with the audience.

This year brought a slight change in how we approached our Big Retreat. The Officers’ Retreat and the Council Members’ Retreat were joined into a single event which took place in Budapest at the start of March 2025. Our Senior Vice Chair, Viktória Szilágyi from Lakatos Köves and Partners, carried out the work as this year’s gracious host and needed to accommodate such a large crowd with a full schedule. She certainly lived up to it!
