Independent corporate monitorships can be a helpful resource and beneficial means of assessing a business organisation’s integrity culture and its compliance with the terms of a corporate resolution. The goal of a monitorship is to serve as an effective means of reducing the risk of the misconduct recurring, including the compliance lapses that gave rise to the underlying corporate resolution.
The need for a monitor and the scope of any monitorship depends on the facts and circumstances of a particular case. Experience to date provides us with important lessons. This panel will discuss relevant aspects of the process, including:
• the need for and potential benefits of a monitor;
• managing costs;
• impacts on the operations of a corporation;
• whether current policies and guidance adequately provide for this evolving mechanism;

Antitrust distribution rules differ significantly across the globe, so businesses have always had to keep a weather eye on antitrust laws when structuring international distribution networks. Now that many are prioritising building resilience into their supply chains, this has to be an important factor in deciding their strategy. The rules are changing in some important jurisdictions; new EU distribution rules in June included stricter rules for online intermediation services, price parity (MFN) clauses and dual distribution arrangements. UK rules changed at the same time, and differently from in the EU. Asian enforcers are increasingly active in in the digital sphere and beyond, and the US, though generally more relaxed about vertical agreements, has tricky rules around certain issues such as price discrimination. This session will explore how best to meet the significant challenges of factoring all this into distribution system design and ensure compliance across an international network.

A new report from the Legal Policy & Research Unit of the International Bar Association indicates that women account for just over half of legal professionals (54 per cent), but only 31 per cent are represented in top positions.
Covid-19 and the remote prospectus drafting and verification sessions that it promoted, have affected the way in which part of the less formal diligence process is done. In some jurisdictions nothing may have changed, but in others the changes have been profound – and they seem here to stay. Is this good, bad or indifferent? An expert panel will consider whether the market has merely developed a more efficient way of working, or whether standards risk being eroded. The panel will analyse some of the new practices from an issuer and from an underwriter perspective, and an attempt will be made to formulate practical guidelines that safeguard the interests of investors while retaining efficiency gains made during the pandemic.
