In the intricate dance of mergers and acquisitions (M&A), material contract warranties serve as both a shield and a sword for buyers and sellers. They offer buyers a degree of security about the target company's operational and financial health, while simultaneously protecting sellers from potential future liabilities. Understanding the nuances of these warranties is crucial for navigating the complex landscape of M&A transactions.
Over 640 million Africans have no access to energy, this is an electricity access rate of just over 40%, the lowest in the world. Per capita consumption of energy in sub-Saharan Africa (excluding South Africa) is 180 kWh, compared to 13,000 kWh in the United States and 6,500 kWh in Europe. 418 million people have no clean drinking water and around 1 billion no cooking fuels. Africa accounts for 17% of the world’s population yet only 5.9% of the world’s energy supply. Africa produces only around 4% of the world’s GHG emissions. Access to energy is fundamental for health, education and to create jobs and economic opportunities. Within transition and carbon reduction objectives, Africa argues that one solution does not fit all and for the right to use its fossil fuels, gas in particular. What will be the future of the region least responsible for global warming and at the same time, the most vulnerable and least developed?

The committee was originally an interest group which was introduced as an IBA constituent in 1996 to allow efficient global networking of women lawyers.
WLC aims to level the playing field in the legal profession and inspire leaders to work to achieve gender parity. The Poverty and Social Development Committee, builds on years of work under various IBA auspices. We engage the legal profession to contribute to UN Sustainability Goal #1: Eradicating Poverty. In financial matters, there are numerous cases of scammers promising investors a high return in a short period of time. To target potential victims, scammers show boundless imagination and use all kinds of manoeuvres. They present themselves as providers of cutting-edge financial services, relying in particular on attractive subjects such as cryptocurrency. For Swiss criminal courts, however, there is an important and sometimes difficult distinction between a scam where the investor is the victim of a fraud and a high-risk investment based on aggressive promotional strategies.

This article looks at the effect that the Covid-19 pandemic has had on an aircraft lessor lawyer, and looks at the issues that the pandemic has caused for the industry.
This session aims to highlight which sectors of the market are most active in Latin America, and discuss the strength of industries such as technology, energy, financial services, infrastructure, healthcare, transportation and logistics for the Latin American M&A landscape. The panel will also address the regional and international factors that have an impact on M&A transactions in the region, including the effect of geopolitical tensions. Additionally, trends in the M&A market will be discussed, including the increasing importance of ESG practices, as well as relevant aspects of corporate governance. Finally, the outlook for the M&A sector will be discussed.
Mergers and acquisitions in Latin America
The Aviation Law Committee is concerned with several major areas of law. Aircraft transactions and financing are always a major interest. The Committee also follows developments of international law with respect to airlines in both economic and tort areas, and also focuses on competition issues related to aviation.
The Committee provides an opportunity not only to contribute to the development of aviation law but also to make useful contacts with aviation attorneys from all over the world. This is particularly important in an international industry such as aviation, where attorneys are required to deal with aviation attorneys in other countries on a regular basis.

Only a few years ago, complying with environmental standards was mostly voluntary and companies used such compliance either for ideological reasons, as a marketing tool or for both. Now, on the one hand, several countries, especially in Europe, implement the goals of the Paris climate agreement creating new laws, and on the other hand, public pressure increases to conduct business in a sustainable way. The Negligence and Damages Committee has the object of providing information from a range of jurisdictions worldwide. Participants will gain practical knowledge which will enable them to deliver a better service to clients in their own jurisdiction. Equally, when consulted by clients who were injured in other jurisdictions, on ships, on aircraft or elsewhere, the committee activities provide information and networking opportunities with colleagues which will enable lawyers to undertake such cases on an international basis.

The Leisure Industries Section started as the Travel Law Section and addressed the needs of travel law practitioners serving the travel industries. It grew to merge with the Tourism and Sports and Gaming sections expanding in its scope to provide a specialist network of professionals in the leisure industries.
The Section recognises that lawyers who work in the leisure industries often practice in one of the more traditional legal fields (aviation, property, finance, maritime, intellectual property, employment, litigation, conflict of laws, consumer law, insurance and trade law). The barrage of such information has both confused and captivated the world, leading many to still wonder what an NFT is, while inspiring others to apply this technology to advance their industry or industry sector, with one such industry sector being health data. Specifically, this article explores the use of NFTs to store health data. Much of this article may be applicable to the use of NFTs to store any type of data, but it focuses on health data, highlighting some of the significant opportunities and challenges in this space. It also provides critical analysis to demonstrate how businesses should begin to analyse their work in the NFT space under existing regulations. This article first demystifies blockchain and NFTs by explaining what they are. Second, it explores the use of NFTs to store health data, and some of the opportunities presented by this use. Third, the article highlights some of the legal and ethical gaps surrounding the use of blockchain to store health data, with a specific focus on individual privacy and privacy rights. This is accomplished through an analysis of a variety of global privacy laws and their application to NFTs, specifically when used to store health data. The article concludes with a discussion of some ethical concerns related to the use of NFTs to store health data.

The Committee works closely with the IBA Standing Committee on Professional Ethics which is concerned with the maintenance and periodical reform of the International Code of Ethics.
The Committee seeks to facilitate relevant networking and information/experience sharing opportunities and encompasses the social and collegial interests of both members and potential members with other regional fora, the Corporate Counsel Forum and the Young Lawyers Committee and all LPD committees in general.
