IBA Annual Conference Paris 2023
The mission of the Committee is to address issues of particular interest to start ups, owner-managed, closely held and family businesses and their legal advisors, and to organisations with ambitions for growth. The Committee's aim is to provide a focus for the different needs of ownership, management and financing of such organisations. Particular focus is placed on: management and ownership issues, finance and the raising of tier one and two capital, shareholder issues and agreements, business succession plans, exit planning, relationships with outside investors, protection of minority interests, dispute monitoring and resolution, the role of professionals in management and advisory roles and relevant issues arising from tax, employment, real estate, estate planning and family law.

The scope of the Committee’s work covers network, service and content-related developments across all delivery platforms. This provides members with access to practical global perspectives on the array of technological, commercial and policy issues which confront communications lawyers, their companies and clients.
Securities settlement procedures and requirements represent an important and technical, although often misunderstood, element of capital markets, and are particularly complex in the case of cross-border transactions. This panel will explore important legal and commercial settlement issues relevant to counsel of both issuers and security holders throughout a settlement cycle in the context of equity-based transactions involving differing jurisdictions for listing, incorporation and place of issuance. Topics to be discussed include:
• Overview of settlement systems in Europe and the U.S.;

39th IBA International Financial Law Conference
The African Regional Forum aims to enhance the value and significance of the International Bar Association (IBA) by addressing issues unique to African lawyers. The Forum focuses on cooperation with bar associations, supporting legal development, and promoting IBA participation across Africa. We organise regional conferences, workshops, and seminars to foster specialisation and partnerships within the legal profession. The Forum also works to educate about legal rights, strengthen sub-regional bars, and facilitate exchanges between developed and developing bars. We play a crucial role in training, legal reforms, and fostering collaboration with government and other regional fora.
The Forum for Barristers and Advocates represents Bar Associations whose members practice as independent referral practitioners in jurisdictions with a divided legal profession. Formed by Bar Leaders, the Forum advocates for the principles of independent advocacy within the IBA. The Forum addresses the importance of advocate and judiciary independence, ethical conduct, and training. The Forum supports human rights and collaborates with the Judges' Forum and other committees on litigation and trial topics. The Forum’s inaugural members include Bar Associations from England and Wales, Scotland, Ireland, South Africa, Australia, and Hong Kong, representing over 16,000 barristers and advocates. The International Trade and Customs Law Committee is a forum for international practitioners, corporate counsel, academics and government officials to convene, exchange ideas and promote discussion of issues across the spectrum of international trade and customs law.

The Forum for Government and Public Lawyers provides a platform for government and public lawyers worldwide. As the global voice of the legal profession, the IBA supports these lawyers and connects them with both public and private sector practitioners. The Forum focuses on the role of government and public lawyers, covering public service values, ethics, specialist skills, and public international law developments. Membership is open to Bar Associations that are IBA members and individual members of any Division. The Forum is especially relevant to practitioners working in government or public entities at domestic, regional, or international levels.
In view of the current challenges by states of dispute resolution mechanisms in investment treaties, what are the likely changes to expect around the world?

The European Regional Forum (ERF), established in 1989, has over 8,000 members. The forum is divided into four regions - Northern, Western, Central, and Southeastern - each led by a Chair and Vice-Chair. We have five working parties - communications, D&I, ESG, mental wellbeing, and next-gen law - and we organise four conferences annually (automotive & mobility services, fashion & luxury law, ESG and start-up) in addition to many leading and participating in many smaller initiatives.
Our goals include: addressing the needs of professional organisations and individual members, increasing participation in the IBA, fostering cross-border collaboration among European lawyers and bars and supporting the Rule of Law and civil society. The topics covered by this session included: active and passive holding companies; the impact of European Union directives on these structures; substance requirements of Anti-Tax Avoidance Directive III and new domestic rules; the debt-equity bias reduction allowance proposal; and beneficial ownership rules, as well as their impact on financing and funds.
Closely held companies have been affected by post COVID economic environment, the Ukraine-Russia war and the increase of energy prices. A number of companies from various sectors are suffering signs of stress. This interactive session will explore, among other issues:
- the opportunities for investors prepared to engage in the acquisition of distressed companies (including PE, hedge funds, sovereign wealth funds);
- the implications of ongoing restructuring processes or formal insolvency proceedings;
- transaction structuring issues, including carve-outs and related tax and commercial implications;
- how to address the gap between valuation expectations of buyers and sellers (earn-outs and other mechanisms);
- the different incentives of the parties involved (buyer, seller, creditors, shareholders, board);
- time constraints;
- limited due diligence scope and uncertainty and implications for pricing and risk allocation (including warranty protection and W&I insurance); and
- how to prepare a company to get sold.

In this session, Antonia Verna and Pavla Prikrylova presented the European Regional Forum Diversity & Inclusion Working Party with the Diversity and Inclusion Toolkit for Lawyers. The Toolkit was developed by the International Bar Association (IBA) to provide law firms with an action plan to embed the core principles of diversity and inclusion into their organisations.

22nd Annual International Mergers & Acquisitions Conference
Even where parties are embroiled in adversarial disputes resolution, mutual settlement remains a cheaper and more effective alternative. The legal fraternity, however, remains divided on whether a neutral can and should facilitate settlement.
This paper argues that a neutral’s participation in mutual settlement is not only permissible, but also beneficial to disputing parties. The key is to establish the right safeguards.
This is an opportunity for Member Organisation Representatives to be updated on the status of ongoing projects in which the IBA is involved, and specifically those that touch on sensitive areas for bar associations.
It will also allow them to find out what work is being planned, and propose subject matter and programmes for future activities within our very dynamic BIC.

On 4 May 2023, during the IBA Litigation Conference in Buenos Aires, the first session of the conference sought to explore what tech companies are demanding from their lawyers in the new and evolving global economy for legal services. Rodrigo Fermín García of Marval O’Farrell & Mairal, who had compiled an excellent panel of speakers from South America's tech scene, moderated the session. The speakers were Mariana Alvarez Gaiani (JPMorgan Chase Argentina), Daniela Bianchi (Uala), Santiago Gini (OLX), Horacio Liendo (Mercado Libre) and Pamela Moreno (IBM).
The 2019 Stockholm Human Rights Award winners were David Miliband and the International Rescue Committee, the organisation he leads. In conversation with IBA Executive Director, Mark Ellis, Miliband spoke about migration, the climate crisis and the need for passion, as well as reason, in confronting populism.
This session will discuss the practical application of the IBA updated guidance on the UN Guiding Principles on Business and Human Rights (UNGPs) released in 2023.
It will provide new insights into the UNGPs in practice, recent updates in business and human rights, the maturation of the right to a healthy environment (R2HE), due diligence approaches for human rights and the environment, and the trends in transnational business and human rights litigation.

This article explores the new legal environment in the European Union arising from the revised Network and Information Security Directive (NIS2), which is applicable to the management boards of health sector services providers, notably hospitals and clinics. This EU Directive establishes a new set of obligations, which makes board members directly and personally responsible for the level of cybersecurity compliance by the entities that they manage and administer, as well as making them responsible for the cybersecurity failures the entities may suffer. This article emphasises the importance of management boards designing and adopting strict cybersecurity policies and internal control systems to ensure compliance with the EU Directive and to avoid any liabilities.
But in ever-expanding situations, it is legally or informally required from companies that they make sure not only their officers and employees abide by laws and regulations, but also that all the third parties they are interacting with do so, in the countries where they are based as well as nearly all over the world. They are increasingly expected to detect potential criminal offences, internally investigate them, collect data, question people, establish potential individual liabilities, disciplinary sanction employees, self-report to the judicial or administrative authorities and cooperate to reach settlements while being strongly incited to do so.
But to what extent is this their role? What is it telling about public enforcement policies around the world? Are commercial companies becoming private prosecutors and should such a trend be questioned?
